Welcome to H&P Building LLC ("H&P Building," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, products, services, quotations, custom projects, and purchases made through www.hnpbuilding.com or directly with H&P Building.

By accessing our website, requesting or approving a quotation, paying a deposit, or placing an order, you agree to be bound by these Terms, together with any applicable quotation, invoice, approved shop drawing, order confirmation, Shipping Policy, and Return & Refund Policy.

If you do not agree with these Terms, please do not use our website or place an order with H&P Building.

2. Eligibility

By using this website or placing an order, you represent that you are at least 18 years old and legally capable of entering into a binding agreement.

If you are purchasing on behalf of a company, organization, contractor, architect, designer, government entity, or other business, you represent that you have authority to act on behalf of that entity.


3. Products and Services

H&P Building manufactures and sells custom and made-to-order architectural metal products for residential and commercial applications.

Our products may include, but are not limited to:

  • Fencing
  • Water Features
  • Fire Features
  • Fire Pits
  • Fireplaces
  • Pergolas
  • Planters
  • Edging
  • Stair Components
  • Sculptures
  • Architectural Metal Fabrication
  • Custom Commercial Products
  • Custom Residential Products
  • Other Made-to-Order Metal Products

Products may be manufactured from materials including Corten steel, carbon steel, stainless steel, aluminum, copper, brass, bronze, and other materials specified for a particular project.

Because many products are manufactured specifically for each customer's project, dimensions, materials, finishes, designs, mounting methods, and other specifications may vary from order to order.


4. Product Information

We make reasonable efforts to provide accurate product descriptions, photographs, dimensions, specifications, and other information.

However, photographs, digital renderings, screen displays, samples, and website images may not perfectly represent the appearance, scale, color, texture, finish, or natural characteristics of the finished product.

Dimensions and specifications for custom products will be determined by the applicable quotation, order confirmation, invoice, approved drawings, or other written project documentation.


5. Quotes and Orders

Quotes are based on the information available at the time they are prepared and may be subject to expiration, revision, or adjustment if project requirements change.

Unless otherwise stated in writing, an order is considered accepted after the applicable payment or required deposit has been received and H&P Building has accepted the order.

For custom projects, additional requirements may include:

  • Confirmation of dimensions
  • Selection of materials
  • Selection of finishes
  • Approval of drawings
  • Confirmation of mounting requirements
  • Approval of design details
  • Confirmation of shipping arrangements

H&P Building reserves the right to decline or cancel an order before production when reasonably necessary, including because of pricing errors, material availability, technical feasibility, payment issues, suspected fraud, or other legitimate business reasons.

If H&P Building cancels an order before production for reasons not caused by the customer, amounts paid for the canceled portion of the order will be refunded as appropriate.


6. Custom and Made-to-Order Products

Many H&P Building products are custom manufactured specifically for the customer's project.

The customer is responsible for providing accurate information concerning:

  • Dimensions
  • Measurements
  • Site conditions
  • Installation requirements
  • Mounting requirements
  • Material selections
  • Finish selections
  • Design requirements
  • Applicable project specifications

Customers should carefully review all specifications before approving an order or shop drawing.

Orders may be modified or canceled before production begins, subject to any design, engineering, material procurement, administrative, or other costs already incurred and disclosed or otherwise agreed upon where applicable.

Once production has started, custom-made or personalized products generally cannot be canceled, returned, or refunded because they are manufactured specifically for the customer's project, except where required by applicable law or as otherwise provided in our Return & Refund Policy.


7. Shop Drawings and Design Approval

Certain custom products may require shop drawings, technical drawings, renderings, CAD drawings, proofs, or other design documents before manufacturing.

When customer approval is required, the customer is responsible for carefully reviewing all applicable information, including:

  • Dimensions
  • Quantities
  • Materials
  • Design
  • Pattern
  • Orientation
  • Mounting details
  • Openings
  • Cutouts
  • Finish selections
  • Other project specifications

Approval of a drawing or design confirms that the customer has reviewed and accepted the information shown.

Production may begin after final customer approval and satisfaction of applicable payment requirements.

H&P Building is not responsible for errors contained in information, measurements, specifications, drawings, or requirements supplied or approved by the customer, except to the extent responsibility cannot legally be excluded.

Changes requested after final approval may result in additional charges and changes to the production schedule.


8. Customer-Supplied Designs and Files

When a customer provides drawings, CAD files, artwork, patterns, logos, dimensions, specifications, or other design information, H&P Building may manufacture the product based on the information supplied.

The customer is responsible for verifying the accuracy and suitability of customer-supplied files and specifications.

The customer also represents that they have the necessary rights or authorization to provide any artwork, logo, design, drawing, or other intellectual property submitted to H&P Building for production.

H&P Building is not responsible for defects or dimensional errors resulting directly from inaccurate customer-supplied files or specifications, except where H&P Building expressly agrees in writing to modify or verify them.


9. Pricing

Unless otherwise stated, prices are quoted in U.S. Dollars (USD).

Prices may change without notice before an order is accepted.

Depending on the transaction, prices may not include:

  • Shipping or freight
  • Taxes
  • Installation
  • Permits
  • Engineering
  • Site preparation
  • Customs duties
  • Import fees
  • Brokerage fees
  • Special handling
  • Liftgate service
  • Residential delivery charges
  • Other project-specific expenses

Any applicable additional charges will be identified where reasonably possible in the quotation, invoice, checkout process, or other project documentation.


10. Payment

We accept payment methods made available by H&P Building or through our website.

Custom projects may require a deposit or other scheduled payments.

Payment requirements will be identified in the applicable quotation, invoice, order confirmation, or checkout process.

Production may not begin until required payments and approvals have been received.

Any remaining balance must be paid according to the payment terms specified for the order.

H&P Building may suspend production or shipment if required payments are overdue.


11. Production and Processing Times

Most H&P Building products are made to order.

Production times vary depending on factors including:

  • Product type
  • Dimensions
  • Quantity
  • Material
  • Finish
  • Level of customization
  • Engineering requirements
  • Customer approvals
  • Material availability
  • Current production schedule

Any production timeframe provided on a product page, quotation, invoice, order confirmation, or other communication is an estimate unless expressly guaranteed in writing.

For projects requiring customer approval, production time may begin only after all required approvals, specifications, and payments have been received.


12. Shipping and Delivery

Shipping methods, costs, and estimated delivery times may vary based on product dimensions, weight, destination, freight requirements, and other factors.

Large or oversized products may require freight or LTL delivery.

Customers are responsible for providing an accurate delivery address and notifying H&P Building of any special delivery conditions before shipment.

Special conditions may include:

  • Limited-access locations
  • Residential delivery
  • Liftgate requirements
  • Construction sites
  • Restricted roads
  • Appointment requirements
  • Limited unloading equipment
  • Other delivery restrictions

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

H&P Building is not responsible for carrier delays or other transportation delays outside our reasonable control.

Risk of loss and responsibility for shipments will be determined in accordance with the applicable shipping terms, carrier requirements, and applicable law.

13. Inspection Upon Delivery

Customers should inspect all products and packaging promptly upon delivery.

If a shipment arrives with visible damage, the customer should, whenever reasonably possible:

  • Inspect the shipment before signing the delivery receipt.
  • Photograph the packaging and damaged areas.
  • Note visible damage on the carrier's delivery receipt.
  • Retain packaging materials when necessary for a claim.

Shipping damage or manufacturing defects should be reported to H&P Building within 48 hours of delivery, together with:

  • Order number
  • Photographs of the product
  • Photographs of the packaging
  • Description of the issue

Failure to promptly document shipping damage may affect our ability to pursue a claim with the carrier.

Nothing in this section limits any rights that cannot legally be waived under applicable law.


14. Returns, Cancellations, and Refunds

Because many H&P Building products are custom-made or personalized specifically for each customer, such products generally cannot be returned or refunded after production has begun.

Orders may be modified or canceled before production begins, subject to the terms applicable to the particular order and any costs already incurred where applicable.

Exceptions may apply for:

  • Manufacturing defects
  • Shipping damage
  • Orders canceled by H&P Building
  • Other circumstances approved by H&P Building
  • Rights available under applicable law

15. Natural Material Variations

Certain materials used by H&P Building naturally change in appearance over time.

These materials may include Corten steel, copper, brass, bronze, raw steel, wood components, stone, and other natural or weathering materials.

Variations may include:

  • Color
  • Texture
  • Oxidation
  • Patina
  • Weathering
  • Surface markings
  • Tone variations

Corten steel, for example, is designed to develop a naturally oxidized protective patina when exposed to environmental conditions.

Copper and similar metals may also naturally change color and develop patina.

These natural variations and changes are inherent characteristics of the materials and are not considered manufacturing defects.


16. Installation

Unless installation is expressly included in the written scope of an order, products are sold without installation.

Customers are responsible for ensuring that installation is performed appropriately and in accordance with applicable requirements.

Depending on the product and location, installation may require:

  • Qualified contractors
  • Structural evaluation
  • Engineering
  • Permits
  • Code compliance
  • Appropriate foundations or supports
  • Proper anchoring
  • Electrical or plumbing professionals

H&P Building is not responsible for damage caused by improper installation, handling, modification, misuse, inadequate structural support, or improper maintenance after delivery.


17. Site Conditions and Measurements

The customer is responsible for verifying site conditions and measurements unless H&P Building has expressly agreed in writing to perform those services.

H&P Building is not responsible for issues caused by inaccurate measurements, concealed conditions, site changes, unsuitable foundations, existing structures, utility locations, or other conditions outside H&P Building's control.


18. Warranty and Product Claims

If you believe a product contains a manufacturing defect, please contact H&P Building promptly with your order information, photographs, and a description of the issue.

Claims will be evaluated individually based on the product, materials, specifications, circumstances, and applicable written warranty, if any.

Depending on the circumstances, an appropriate resolution may include repair, replacement, replacement components, or another reasonable corrective action.

Unless expressly provided in a separate written warranty, warranty coverage does not include damage or conditions resulting from:

  • Improper installation
  • Improper handling
  • Misuse
  • Abuse
  • Unauthorized modifications
  • Improper maintenance
  • Normal wear and tear
  • Normal weathering
  • Natural oxidation
  • Natural patina development
  • Environmental exposure
  • Customer-supplied specifications or files that were manufactured as approved

Any warranties that cannot legally be excluded or limited remain unaffected.


19. Intellectual Property

Unless otherwise stated, website content and materials created or owned by H&P Building, including product photographs, graphics, logos, marketing materials, website content, original designs, drawings, and other proprietary materials, are owned by H&P Building LLC or used under appropriate authorization.

They may not be copied, reproduced, distributed, published, commercially exploited, or used without permission except as permitted by law.

Customer-owned intellectual property remains the property of the customer or its applicable owner.


20. Website Use

You agree not to use our website to:

  • Violate applicable laws.
  • Engage in fraudulent activity.
  • Attempt unauthorized access to our systems.
  • Introduce malicious software or code.
  • Interfere with website functionality or security.
  • Collect information through unauthorized automated means.
  • Copy or commercially exploit protected website content without authorization.
  • Misrepresent your identity or authority.

We may restrict access to the website where reasonably necessary to protect our business, customers, systems, or legal rights.


21. Third-Party Services

Our website may use or provide access to third-party services, including payment processors, shipping carriers, applications, analytics providers, and other service providers.

Third-party services may be governed by their own terms and privacy policies.

H&P Building is not responsible for the independent acts or omissions of third-party providers except to the extent required by applicable law.


22. Limitation of Liability

To the fullest extent permitted by applicable law, H&P Building LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the website, products, services, delays, or transactions.

To the fullest extent permitted by applicable law, H&P Building's aggregate liability arising from a particular product or transaction will not exceed the amount actually paid to H&P Building for the product or service giving rise to the claim.

These limitations do not apply where liability cannot legally be excluded or limited.


23. Force Majeure

H&P Building will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control.

Such circumstances may include:

  • Natural disasters
  • Severe weather
  • Floods
  • Fires
  • Labor disputes
  • Supply chain disruptions
  • Material shortages
  • Utility interruptions
  • Transportation disruptions
  • Carrier delays
  • Government actions
  • Import or export restrictions
  • Public health emergencies
  • Acts of war or terrorism
  • Other events beyond our reasonable control

When reasonably possible, H&P Building will make commercially reasonable efforts to resume performance after the event causing the delay has been resolved.


24. Permits, Codes, and Local Requirements

Building codes, zoning requirements, permitting requirements, engineering requirements, and installation standards vary by location.

Unless expressly included in the written scope of work, the customer is responsible for determining and obtaining any permits, approvals, engineering, inspections, or other requirements applicable to the installation or use of the product.

Customers should consult qualified local professionals when necessary.


25. Governing Law

These Terms and transactions with H&P Building LLC shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-law principles, except where otherwise required by applicable law.

Nothing in these Terms limits consumer rights or other protections that cannot legally be waived or restricted.


26. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.


27. No Waiver

Failure by H&P Building to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.


28. Entire Agreement

These Terms, together with the applicable quotation, invoice, order confirmation, approved shop drawings, written project specifications, Return & Refund Policy, Shipping Policy, Privacy Policy, and any other written terms specifically applicable to an order, constitute the agreement governing the applicable transaction.

If there is a conflict between general website terms and a specifically negotiated written agreement for a custom project, the specifically negotiated written terms will control to the extent of the conflict.


29. Changes to These Terms

H&P Building may update these Terms from time to time.

Any updated version will be posted on this page with a revised Effective Date.

Changes will apply prospectively as permitted by applicable law and will not retroactively alter previously agreed material terms of an existing order unless agreed by the parties or otherwise permitted by law.
